Social trends indicate that aging Baby Boomers are retiring at increasingly advanced ages. The recent economic downturn has contributed to this trend. All of this means that closely-held firms (notably architecture firms) face serious issues regarding ownership transition. May the older owner be forced to retire? How does the firm pay for the ownership share of the older retiring professional? How does the firm structure a buy-in for the younger, newer professionals in the office? What if the oldster doesn’t want to sell, or wants to stay active in the profession? What if the youngster can’t or won’t contribute funds to buy into the firm? What do the rules on the practice of architecture say about all this? What are the ethical issues presented? We will answer these questions and offer suggestions on best practices to address these various scenarios.
